南京羊毛市场各会员:

今年上半年，市场收到会员企业浙江红太阳毛纺织有限公司（以下简称“红太阳”）提交的投诉材料，投诉澳方公司AUSTRALIAN MERINO EXPORTS PTY LTD（中文译名：澳大利亚美丽奴羊毛出口有限公司，以下简称“AME”）严重违反诚信经营原则，在为红太阳提供的原毛代买业务中，AME通过私自调高真实拍卖价格的方式，既赚取代买佣金，又赚取真实拍卖价格之外额外增加部分的不当利益，且金额巨大。红太阳提供了详细的交易资料、清单及相关的邮件往来作为证据，并担保这些证据的真实性，希望通过市场来调查AME的失信行为并在全行业内预警。

市场在充分了解此事件的详细经过之后，向中澳羊毛联合小组澳方秘书处进行了通报，组织中澳羊毛联合小组中方小组成员召开句容会议进行了讨论，小组一致认为红太阳与AME是事实上的代买合同关系，AME应该在尊重拍卖真实价格的基础上赚取代买佣金。会后市场发函AME,要求其对红太阳所投诉的问题进行回应与解释。遗憾的是，时至今日AME未有实质性回复。

南京羊毛市场作为行业组织，积极努力倡导行业的诚信经营。在2015年建立了诚信平台体系，颁布了《南京羊毛市场诚信平台细则》。为此，市场决定如下：

1、正式将AME纳入南京羊毛市场诚信平台不诚信名单，在行业中公示；

2、不邀请、不欢迎AME及两位董事参加在中国的任何行业会议，包括每年举行的中国国际毛纺大会；

3、如果行业会员以后与AME有任何贸易纠纷，市场将不再受理调解和仲裁；

4、欢迎AME重回纠纷的调查程序。如AME通过任何方式与红太阳进行了和解，市场会视情况将AME移出不诚信名单。

市场再次向行业呼吁：

1、净化羊毛行业的诚信经营环境，让失信者无处遁形，是全体羊毛行业同仁的共同责任。

2、提倡行业会员间发生纠纷时，本着实事求是，坦诚相见。尽量在行业中和平解决贸易纠纷，任何无视事实真相，胡搅蛮缠，企图掩盖事实的做法所有行业人都应该谴责。

3、提醒行业会员重视保护自身利益，重视书面合同和协议约定的重要性与必要性，不管是多长久的合作伙伴，书面约定永远比口头约定重要。

4、号召羊毛行业同仁远离失信者，不与行业中的不诚信者再发生贸易关系，打造诚信、健康、正气向上的行业环境人人有责。

Decision on Putting AUSTRALIAN MERINO EXPORTS PTY LTD

on the Default List of Nanjing Wool Market Integrity Platform

All members of the NWM,

In the first half of this year, Nanjing Wool Market (NWM) received the complaint documentations submitted by Zhejiang Redsun Wool Textile Co., Ltd. (hereinafter referred to as "Redsun") to complain about Australian Merino Exports Pty Ltd (hereinafter referred to as "AME") seriously violating the principle of good faith. In their indent service for Redsun, AME raised the real auction prices for themselves, and not only earned the indent commission, but also received improper gains of the additional part of the real auction prices, and the amount is huge. Redsun provided detailed transaction information, lists and relevant e-mails as evidence, and guaranteed the authenticity of this evidences, hoping to investigate the dishonesty of AME through NWM and gave early warning to the whole industry.

After careful study of the full details, NWM informed the Australian Secretariat of the China-Australia Joint Working Group on wool, and organized a meeting of the Chinese members to discuss this case in Jurong. The Chinese members reached a consensus that the nature of the relationship between Redsun and AME was the actual commission and indent buying. AME should only earn the indent commission base on the real auction prices as defined by the word of "Indent". After the meeting, NWM sent a letter to AME，asking it to respond and explain the problems raised by Redsun. Unfortunately, until now, AME has not made any substantive reply.

As an industry organization, Nanjing Wool Market actively promotes the internationally accepted good business practice and ensures that the integrity of our industry is maintained. In 2015, the Integrity Platform System was established, and the "Rules for integrity platform of Nanjing Wool Market" was issued.

 Thus, NWM decided as follows:

a. AME is blacklisted in the default list of Nanjing Wool Market Integrity Platform andpublicized in the wool industry;

b. AME and its two directors are not invited or welcomed to attend any wool industry meetingin China, including the annual NWM Conference;

c. If the Chinese enterprises have any trade disputes with AME in the future, NWM will no longer accept the relevant mediation and arbitration;

d. AME is welcome to return to the dispute investigation process. If AME reconciles with Redsun in any way, NWM will remove AME from the default list as the case may be.

NWM once again appeals to the industry:

a. It is the common responsibility of all wool industry participants to promote the honest business environment and provide no room for any misconduct in any trading activities.

b. When disputes occur among members of the industry, we should seek truth from facts and be frank with each other. Try to solve trade disputes peacefully and amicably. Anyone who ignores the truth and tries to cover up the facts should be condemned and punished by the industry.

c. We remind the industry members to attach great importance to protect their own vital interests, pay attention to the importance and necessity of written contract and agreement. No matter how long the parties have engaged with each other, the written contract will be the only method to safeguard the interests of parties involved rather than verbal agreement.

d. We call on wool people to stay away from the dishonest individuals and refuse to do business with untrustworthy people. It is everyone's responsibility to establish a faithful, healthy, and positive industry environment.
